Codoo For Digital Solutions
- These General Terms & Conditions are intended to govern the contractual relationship between Codoo For Digital Solutions and its clients and shall form an integral part of all quotations, agreements, purchase orders, and services provided by the Company.
- 1. Scope of Application
- These Terms & Conditions apply to all services, products, offers, and contracts provided by Codoo For Digital Solutions, unless otherwise expressly agreed in writing.
- 2. Precedence of Terms
- The Client expressly waives its own general terms and conditions, even if issued after these Terms & Conditions. Any deviation from or amendment to these Terms & Conditions shall only be valid if expressly agreed in advance and in writing by both parties.
- 3. Payment Terms

All invoices issued by Codoo For Digital Solutions shall be payable within seven (7) working days from the invoice issue date, unless otherwise stated in the invoice or purchase order.

In the event of late payment after the due date, Codoo For Digital Solutions reserves the right to suspend or discontinue the provision of services, in whole or in part, without prior notice, until full payment is received, without any liability on the Company.
- 4. Debt Collection
- If payment remains outstanding for more than sixty (60) days after the due date, Codoo For Digital Solutions reserves the right to take legal action and/or engage a debt collection agency. All legal and recovery costs shall be borne by the Client.
- 5. Taxes and Withholding
- In certain countries, invoices may be subject to withholding tax or similar deductions in accordance with local legislation.

Any such withholding shall be paid by the Client directly to the relevant tax authorities.

Codoo For Digital Solutions shall not bear any costs or responsibilities arising from the Client’s local legislation.

The full invoice amount shall remain due and payable to Codoo For Digital Solutions, without any deduction.
- 6. Services and Limitation of Liability
- Codoo For Digital Solutions undertakes to use its best efforts to deliver professional and performant services within the agreed timelines.

However, all obligations are obligations of means and not obligations of result.
- Under no circumstances shall Codoo For Digital Solutions be required to act as a third party in any claim for damages brought against the
- Client by an end user or any third party.
- 7. Claims and Complaints
- To be admissible, any claim or complaint must:

Be notified to Codoo For Digital Solutions in writing;

Be sent by registered letter to the Company’s registered office;

Be received within seven (7) working days from the date of delivery of the goods or provision of the services.
- Any claims submitted after this period shall be deemed inadmissible.
- 8. Governing Law and Jurisdiction
- All contractual relationships with Codoo For Digital Solutions shall be governed exclusively by the laws of the Arab Republic of Egypt, and the Egyptian courts shall have exclusive jurisdiction.
